By creating an account or accessing the service, you agree to be bound by these Terms and our Privacy Policy. Organizations must have authorized representatives accept on their behalf.
CelScale provides a platform for uploading spreadsheet models, running evaluations, and managing results. The service includes a web dashboard, API, and integrations for team-based project management.
You must provide accurate information and may not use false identities or impersonate others.
You are responsible for maintaining the confidentiality of your credentials, all activities under your account, and notifying us of unauthorized access.
One account per individual or organization. Accounts are non-transferable. You must be at least 18 years old.
You may use the service for lawful purposes including spreadsheet model evaluation, team collaboration, and system integration.
Uploaded content must not infringe intellectual property rights, contain personal data collected without consent, or violate export controls.
We may suspend or terminate access immediately for violations and reserve the right to remove violative content.
The service, software, design, documentation, and branding belong to GXP Software Solutions LLC and are protected by intellectual property laws.
You retain ownership of all content you upload. We claim no intellectual property rights over your data.
You grant us a limited license to use, store, and process your content solely to provide the service. This license terminates upon content deletion or account closure.
We may use suggestions or feedback you provide without obligation.
You own your data. We process it only to provide the service as described in our Privacy Policy.
We implement industry-standard security measures but cannot guarantee absolute security.
You may export your data anytime. Upon termination, data is deleted within 30 days unless we are legally required to retain it.
The service is provided without uptime commitments, though we strive for high availability.
Scheduled maintenance may temporarily affect availability. We provide advance notice when possible.
We may modify, suspend, or discontinue features at any time with reasonable notice for material changes.
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, business opportunities, or goodwill.
Our total liability for any claims arising from these Terms or the service shall not exceed the amounts you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.
These limitations reflect the risk allocation between the parties and are essential to the agreement.
You agree to indemnify and hold harmless GXP Software Solutions LLC and its officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising from your use of the service, violations of these Terms, violations of third-party rights, or content you upload.
You may terminate your account anytime by contacting us.
We may terminate accounts immediately for Terms violations or illegal activity, or with 30 days notice for other reasons.
Access ceases immediately. Data is deleted within 30 days. Sections 5, 8, 9, 10, and 12 survive termination.
Before filing formal disputes, you agree to contact legal@celscale.ai to attempt resolution within 30 days.
Unresolved disputes are settled by binding arbitration under American Arbitration Association rules in Washington State, USA.
You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.
Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.
These Terms are governed by the laws of Washington State, without regard to conflict of law principles.
We may update these Terms at any time. Material changes are communicated via email or through the service. Continued use constitutes acceptance. You may terminate before changes take effect if you disagree.
